Mr. Gauthier was appointed Chief Executive Officer, President and Chief Operating Officer of VSE Corporation in April of 2008 and was appointed to the Board of Directors in February of 2009. Mr. Gauthier worked for VSE from October 1997 through February 1999 as Vice President and Chief Technology Officer and as our Director of Strategic Planning and Business Development before joining the Nichols Research Corporation Navy Group as its President. With the acquisition of Nichols Research Corporation by Computer Sciences Corporation (CSC) in 1999, Mr. Gauthier served as Vice President of CSC’s Advanced Marine Center. His most recent assignment with CSC was Vice President and General Manager of CSC’s Navy and Marine Corps Business Unit.
Mr. Gauthier earned a Bachelor of Science degree at the U.S. Naval Academy in 1969. He received a Master of Science degree in Systems Engineering in 1976 from the U.S. Naval Postgraduate School, Monterey, CA. He is a graduate of the Defense Acquisition University’s Defense Systems Management College (1988) and of the Advanced Executive Program (1993) and the International Marketing Program (1994) offered by the Kellogg Graduate School of Management at Northwestern University. |

Mr. Dacus manages VSE Corporation’s Federal Group, which is focused on supporting Federal Government agencies through four major divisions: Communications and Electronics Division, Information Assurance Division, Management Sciences Division, and Systems Engineering Division. He has more than 30 years experience managing complex engineering and information technology programs and projects. This experience transitions a wide range of engineering, information technology, and technical fields, from system component design and manufacturing to complex weapon system engineering and analysis.
Mr. Dacus’ diverse background in engineering, manufacturing, information technology, and related fields is complemented by his extensive business knowledge. Mr. Dacus holds a Bachelor of Science degree in Electronic Engineering Technology from the California State University Long Beach and a Master of Business Administration from Pepperdine University. |

Michael E. Hamerly joined VSE in 1984 as a Project Manager. From 1984 to 1994, Mr. Hamerly served as Combat Systems Division Manager and Marine Engineering Group Manager. In 1996 Mr. Hamerly was promoted to Vice President, Deputy Manager, Engineering and Logistic Center. From 1999 to 2009, Mr. Hamerly has served as Manager, Fleet Maintenance Division. In 2006, Mr. Hamerly was promoted to Executive Vice President, and also served as Deputy Director, International Group.
Mr. Hamerly is responsible for the group’s operational policy development and oversight, personnel management, cost management, marketing, monitoring sales growth, identifying potential new areas of business, and overseeing contract execution and performance including quality, schedules, budgets and customer liaison.
Before joining VSE Corporation, Mr. Hamerly served more than 20 years active duty in the U. S. Navy and retired as a Chief Petty Officer. Mr. Hamerly holds a bachelor’s degree in Management from Saint Leo University, Tampa, FL. |

Nancy Margolis became President of wholly-owned subsidiary Energetics Incorporated in May 2010. She joined Energetics Incorporated in 1984 and served as Vice President of the Science and Technology Division prior to her current promotion.
During her tenure, Ms. Margolis developed and managed top-flight teams tackling some of today’s biggest energy and technology challenges. Her division provided technical, communications, and strategic planning support to U.S. Department of Energy programs in Industry, Biomass, Hydrogen, and Buildings Technology, as well as Oak Ridge National Laboratory and the National Institute of Standards and Technology (NIST).
Prior to joining Energetics, Ms. Margolis worked at ARINC Corporation from 1981-1984, focusing on power plant reliability. She also worked as a chemist for Bethlehem Steel Corporation from 1977-1978. She holds a B.A. in Chemistry from Johns Hopkins University and an M.S. in Mechanical Engineering from the University of Maryland at College Park. Ms. Margolis is a member of the American Society of Mechanical Engineers and the Minerals, Metals & Materials Society. |

Carl Williams is the President and COO of ICRC. Mr. Williams joined the ICRC Team in 1999 and was promoted to his current position in 2007. Carl has directed ICRC’s rapid growth doubling resources, revenues, and profits over the last five years. His day-to-day responsibilities include the operational management of ICRC’s four divisions to include strategic, infrastructure & resource planning, financial management, as well as providing for ICRC’s internal information technology resources. From the inception, Carl has been directly involved in the development and deployment of ICRC’s information technology systems as the company’s resources and needs expanded over the past 8 years.
Prior to working for ICRC, Mr. Williams served as a Program Manager and Vice President for Operations for a small engineering firm providing unique specialized technologies to the Department of Defense and Energy clients.
Mr. Williams completed a successful 23 year career in the U.S. Navy as a Surface Warfare Officer aboard various nuclear-powered ships. He served as an officer in a variety of engineering, operations and training roles in the Atlantic and Pacific Fleets. From 1992-1995 he served on the Chief of Naval Operations staff supporting the U.S. Navy’s International Science & Technology initiatives.

Denise Manning became President of wholly-owned subsidiary G&B Solutions Inc. in 2010. She has served as the COO for G&B since 2008, initially joining the company in 2002 as a Director responsible for service delivery.
Ms. Manning’s recent responsibilities included the management of business development, proposals and communications, technical solutions, and service delivery for more than 30 programs, with an annual value in excess of $50 million dollars. During her tenure at G&B she has grown the company’s core competencies in support of a solution based business development model. Her expertise has also been an integral component in proposal responses to government issued solicitations; company marketing and communications.
Prior to joining G&B, Ms. Manning was at Northrop Grumman for eighteen years as a Program Director in the Enterprise Solutions organization. She also served as a Program Manager for Fairfax Imaging, Inc. and the Director of Project Management for BIAP Systems. Ms. Manning graduated with a Computer Science degree in 1981 from State University of New York System and is a certified project management professional (PMP). |

Tom Loftus is the Chief Financial Officer/Principal Accounting Officer of VSE Corporation. He has been in this position since March, 2002. He manages the entire accounting operation for the consolidated corporation. This involves managing the many daily tasks necessary to support the corporation as well as managing the numerous external compliance and audit functions involved in a government contractor that is a public company. Mr. Loftus has been with VSE since 1978 and has held various job descriptions over the years in the Finance and Accounting Department including Comptroller and Corporate Tax Director, a function he continues to perform.
Mr. Loftus is a licensed CPA in the State of Virginia and has a Master of Business Administration (MBA) from George Washington University. He has nearly three decades of finance and accounting experience. He is a member of the National Society of Tax Professionals and a member of the Maryland Society of Accountants |

James Lexo serves as VSE’s Executive Vice President of Strategic Planning and Business Initiatives, as well as Chief Administrative Officer. In 1996, Mr. Lexo co-founded ICRC, which at that time was a start-up company with revenues less than $200,000. Over the next ten years, revenues increased dramatically and in 2005, exceeded $100 million. ICRC was acquired by VSE in 2007 and is now reported as the Infrastructure Group.
Mr. Lexo managed small to mid-sized businesses for 19 years mostly focused on federal contracting. From 1985 to 1995, he served as Vice President of International Research Group, which facilitated the transfer of technology from Europe to the U.S. Prior to that position, he was the Administrative Aide to Congressman Don Young of Alaska after having worked for the Republican National Committee.
Mr. Lexo received a Bachelor of Arts Degree in Political Science in 1970 from Westminster College in Pennsylvania, and attended graduate studies in government contracting from the University of Virginia. |

Mr. Hollstein was appointed Corporate Vice President of Sales & Marketing on August 25, 2008. He is responsible for VSE customer relations, business development, and communications. Before joining VSE, Mr. Hollstein was Senior Director of Business Development for Maersk Line, Limited where he was responsible for all business development activities related to maritime and maritime security opportunities. In prior assignments at other companies, he has been responsible for business development with Navy, Marine Corps, Coast Guard, and Army clients, and for developing new business with other Federal agencies including DHS, MDA, NOAA, and DFAS. His marketing experience encompasses both products and services.
Mr. Hollstein was a Naval Surface Warfare Officer serving aboard destroyers and frigates for over seven years. He currently is a very active member of the Navy League of the United States and has recently completed five consecutive years as the National VP for Legislative Affairs and is currently the President of the Naval Sea Cadet Corps. Mr. Hollstein is a 1978 graduate of Babson College in Wellesley, Massachusetts, where he earned a Bachelor of Science degree in Business Management, majoring in both Finance and Communications. |

Mr. Kiernan, Esq., was appointed Vice President and General Counsel on November 17, 2008, and subsequently appointed Secretary on February 27, 2009. He is the first General Counsel for VSE and is responsible for VSE legal affairs and corporate compliance.
Prior to joining VSE, Mr. Kiernan served as Vice President, General Counsel, and Secretary for Intelsat General Corporation (2003-2008), a subsidiary of Intelsat, Ltd., serving Government and commercial customers, where he was responsible for managing legal and regulatory compliance and directing the Administration support group, including human resources, security, and contracts. Prior to joining Intelsat General Corporation, Mr. Kiernan served as a member of the Intelsat, Ltd., Office of General Counsel (2000-2003).
Prior to joining Intelsat, Mr. Kiernan served as corporate counsel for SRA Life Sciences (1994-2000).
Mr. Kiernan is a graduate of Virginia Tech (B.A., Political Science, 1990) and George Mason University School of Law (J.D., 1994). He is a member of the Virginia State Bar and an active member of the Alexandria, VA community. |

Crystal Williams was appointed Vice President of Contracts on December 1, 2008 and is responsible for the oversight of the contracts department for VSE Corporation.
Prior to joining VSE, Ms. Williams served as Director of Contracts for CSC’s North American Public Sector, Defense Division (Navy/Marine Corps). Her roles and responsibilities included providing leadership and guidance for the contracts/subcontracts organization of the East/West Coast Navy business operations. Upon joining the CSC staff in 1994, she served as a senior contracts administrator and was subsequently promoted to contracts manager in support of the U.S. Air Force. Prior to assuming her last position at CSC in January 2008, Ms. Williams was the senior contracts manager. During her tenure at CSC, she spearheaded multi-million dollar contracts and negotiations in all areas of acquisition management. Ms. Williams was also instrumental in strategizing and executing long standing, excessive debt collection.
Ms. Williams attended George Mason University and graduated in 1986 with a BS in Public Administration. Afterwards she served as a contracts administrator at Dynamic Concepts (Washington, DC) and afterwards worked for ICF Kaiser International (Fairfax, VA). |

Mr. Jonas joined VSE in March 2009 as the Vice President of Procurement. Prior to joining VSE, Mr. Jonas served in several Supply Chain and Procurement leadership roles, to include Vice-President/General Manager of Logistics and Health Services at Information Manufacturing Corporation, and Vice-President of Procurement and Professional Services at IAP WorldWide Services. Mr. Jonas has professional affiliations with organizations such as National Contract Management Association (NCMA), California Bar Association and Institute for Supply Management.
Mr. Jonas earned a Bachelor of Science in Business Administration from the University of Redlands in 1987. Mr. Jonas received a Juris Doctor in Law from Loyola Law School in 1994. |

Tina Bailey became Vice President of Human Resources at VSE Corporation in 2010. She specializes in addressing employee-related issues and ensuring human resources objectives are aligned with revenue and profit goals. She conducts risk analysis’ to determine both the tangible and intangible implications of enterprise-wide decisions, as well as leading company-wide human resources initiatives to utilize best practices and maintain a competitive advantage on workforce matters.
Prior to joining the VSE team, Ms. Bailey’s career highlights include serving as a human resources consultant for Aetna Casualty and Surety Company; as well as holding the position of VP of Administration, Director of Human Resources for the Science Application International Corporation (SAIC). Ms. Bailey earned a Masters Degree from Marymount University, Virginia (1997). She also holds a Bachelors Degree from Virginia Commonwealth University, Richmond. |
